Terms of Service

Company: 2XyourAP (“Company,” “we,” “us,” or “our”)

Client: The insurance agent or business entity using our services (“Client,” “you,” or “your”)

By using 2XyourAP services, you agree to this Master Terms of Service (“Agreement”) in full.


1. Definitions

1.1 Services: AI automation, lead engagement, pay-per-booking, appointment scheduling, and related consulting, software, or workflows provided by 2XyourAP.

1.2 Booking: An appointment successfully scheduled with a lead according to the criteria outlined in the Service Order, Agreement, or Checkout Page.

1.3 Leads: Individuals or entities you authorize 2XyourAP to contact on your behalf.

1.4 Client Data: Any data, including lead information, CRM records, business information, or communications, provided by Client for use with Services.

1.5 AI Systems: Automated workflows, bots, and machine-learning systems used for lead engagement and appointment scheduling.


2. Scope of Services

2XyourAP will provide the Services described in the Client’s signed Service Order or purchase agreement. Services include, but are not limited to:

Lead engagement via AI, SMS, email, or phone calls

Appointment scheduling and confirmations

Reporting and analytics on bookings and lead responses

CRM integration and automation workflows

Exclusions: 2XyourAP is not an insurance agency, carrier, or licensed financial advisor. Client is responsible for compliance with all insurance laws.


3. Client Responsibilities

Client agrees to:

Maintain all necessary insurance licenses and authorizations.

Provide accurate lead data, consent records, and business information.

Ensure all lead contacts are obtained lawfully and consent to be contacted.

Use Services in accordance with applicable laws, including TCPA, CAN-SPAM, and state regulations.

Handle all booked appointments ethically and professionally.

Notify 2XyourAP promptly of any lead or data restrictions.


4. TCPA / SMS / Email Compliance

By using our Services, Client represents and warrants that:

All contacts have opted-in to receive messages and calls as required by law.

Client has obtained consent to receive text messages, calls, or emails for appointment purposes.

Client will comply with all applicable telemarketing, email, and messaging laws.

2XyourAP provides the tools to contact leads but is not liable for Client’s non-compliance.


5. Fees & Payment

Pay-Per-Booking: Client will pay fees as agreed in the Service Order or Checkout Page for each valid booked appointment.

Billing: Fees are invoiced automatically per the agreed billing schedule.

Refunds: Payments are generally non-refundable unless expressly stated.

Late Payments: Overdue balances may incur a late fee of [X]% per month.

Taxes: Client is responsible for all applicable taxes.


6. AI & Automation Disclaimers

2XyourAP uses AI and automation to engage leads. Responses may be automated.

AI performance may vary based on lead quality, data accuracy, and market conditions.

2XyourAP does not guarantee any number of bookings, sales, or revenue.

AI interactions may be monitored or recorded for quality and compliance.


7. Confidentiality & Data Security

7.1 Client Data: All Client Data remains the property of the Client.

7.2 Security: 2XyourAP uses reasonable measures to protect Client Data but cannot guarantee complete security.

7.3 Confidentiality: Both parties agree to keep proprietary, business, and non-public information confidential, except as required by law.


8. Intellectual Property

All 2XyourAP technology, software, AI models, templates, scripts, and materials remain the property of 2XyourAP.

Client may not copy, resell, or distribute any 2XyourAP intellectual property without written consent.

Client grants 2XyourAP a limited license to use Client Data solely for providing Services.


9. Limitation of Liability

To the maximum extent permitted by law:

2XyourAP is not liable for lost revenue, missed opportunities, indirect, incidental, or consequential damages.

Total liability shall not exceed the amount Client has paid 2XyourAP in the 30 days preceding any claim.


10. Indemnification

Client agrees to indemnify and hold harmless 2XyourAP and its affiliates from any claims, damages, or legal actions arising from:

Client’s use of Services

Violations of laws, regulations, or third-party rights

Lead consent issues or data misuse


11. Booking & Lead Policy

A booking is valid only if it meets the agreed criteria (time, lead responsiveness, and completeness).

Client is responsible for following up on booked appointments.

2XyourAP may audit bookings for validity and compliance.


12. Termination

By 2XyourAP: For breach of Terms, non-payment, unlawful activity, or misuse of Services.

By Client: Client may terminate by giving written notice per Service Order.

Upon termination, unpaid fees remain due.

2XyourAP may retain Client Data for legal or operational purposes.


13. Service Availability & Maintenance

Services are provided “as-is.”

2XyourAP may suspend Services for maintenance, upgrades, or emergencies.

2XyourAP is not responsible for downtime or technical interruptions.


14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Florida.

All disputes will be resolved in state or federal courts in Florida.

Parties agree to attempt good-faith negotiations prior to litigation.


15. Modifications

2XyourAP may update these Terms at any time.

Continued use of Services constitutes acceptance of updated Terms.

Material changes will be communicated via email or posted on the website.


16. Miscellaneous

Force Majeure: 2XyourAP is not liable for delays caused by events outside our reasonable control.

Severability: If any provision is invalid, the remainder remains enforceable.

Entire Agreement: This Agreement, along with Service Orders, represents the full understanding between the parties.
